These Terms of Use (“TOS”) govern the use of the websites (including www.quantilehealth.com) and mobile applications (“Site(s)”) of Quantile Health, Inc (“Quantile Health”, “we”, “us”, “our”) and our affiliates.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THESE TERMS AND CONDITIONS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND QUANTILE HEALTH THAT CONDITIONS YOUR USE OF THE SITES. BY USING, ACCESSING, OR DOWNLOADING A SITE, YOU SIGNIFY YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS AND ACKNOWLEDGE YOU HAVE REVIEWED THE TERMS OF QUANTILE HEALTH’S PRIVACY POLICY.

Privacy Policy; Entire Agreement

Your privacy is important to us. We encourage you to read our Privacy Policy to understand our privacy practices, so that you may make an informed decision about using the Site. By using the Site, you consent to all actions taken by us with respect to your information in compliance with our Privacy Policy. These Terms and Conditions, together with the Privacy Policy and all other terms, conditions and policies incorporated herein by reference, together with any legal notices or other terms or conditions published on the Site, shall constitute the entire agreement between you and us concerning the Site.

Changes to Terms and Conditions

Quantile Health may modify a Site and the rules and regulations governing its use, at any time. Modifications may be posted on the Site, and any such changes or modifications will be effective immediately upon posting of the revisions on the Site. By continuing use of the Site after such changes are made you will be accepting such changes. If you do not agree to any changes or modifications to these Terms and Conditions, your sole recourse is to stop using the Site.

1. Intellectual Property

The Site, and all of the content it contains, or may in the future contain, including but not limited to text, content, photographs, video, audio and graphics, goods, designs, information, applications, software, music, audio files, articles, directories, guides, photographs as well as the trademarks, service marks, trade names, trade dress, copyrights, logos, domain names, code, patents and/or any other form of intellectual property (collectively, the “Service”) that relates to the Site, are owned by or licensed by us or other third parties and are protected from any unauthorized use, copying and dissemination by copyrights, trademarks, service marks, international treaties, and/or other proprietary rights and laws of the U.S. and other countries. The Service is also protected as a collective work or compilation under U.S. copyright and other laws and treaties.

All present and future rights in and title to the Service (including the right to exploit the Service and any portions of the Service over any present or future technology) are reserved to Quantile Health for its exclusive use.

2. License and Scope of Use

Quantile Health hereby grants you a limited license to view and use the Site for your informational, non-commercial use in accordance with the TOS. Except as otherwise provided herein, no part of any content or software on the Site may be copied, downloaded or stored in a retrieval system for any other purpose, nor may it be redistributed for any purpose, without the express written permission of Quantile Health. You understand that Quantile Health may discontinue, change, or restrict your use of the Site for any reason without notice.

3. Fees and Payments

Quantile Health reserves the right at any time to charge fees for access to portions of the Service or the Service as a whole. If at any time Quantile Health requires a fee for portions of the Service or the Service as a whole, we will require you to register and create an account. The decision to provide the information required to create an account is purely voluntary and optional; however, if you elect not to provide such information, you will not be able to access certain content or participate in certain parts or features of the Site. You shall pay all fees and charges incurred through your account at the rates in effect for the billing period in which such fees and charges are incurred. All fees and charges shall be billed to you, and you shall be solely responsible for their payment. You shall be responsible for all applicable taxes relating to the use of the Service.

4. Registration and Account Creation

Quantile Health reserves the right at any time to charge fees for access to portions of the Service or the Service as a whole. Your participation and information required to create an account is voluntary, but without it, you might not access certain content or features. You shall pay all fees incurred through your account at the rates in effect.

5. Subscriptions

Subscriptions purchased to Site are billed annually. Your selected payment method will be charged automatically on a recurring annual basis. All payments are non-refundable. Your subscription will be renewed automatically, and you will be charged in advance of each billing cycle unless you cancel at least 15 days prior to the commencement of the renewal period. Quantile Health reserves the right to adjust the subscription fees from time to time.

6. No Warranties

ALL CONTENT ON THE SITE IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND EITHER EXPRESS OR IMPLIED. QUANTILE HEALTH MAKES NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE SITE. USE OF THE SITE AND THE CONTENT AVAILABLE ON THE SITE IS AT YOUR SOLE RISK.

7. Limitation of Liability; Release

YOUR USE OF THE SITE OR ANY CONTENT ON THE SITE IS AT YOUR OWN RISK. QUANTILE HEALTH, FOR OURSELVES AND OUR AFFILIATES, SPECIFICALLY DISCLAIMS ANY AND ALL LIABILITY FOR ANY DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH ACCESS TO OR USE OF THE SITE.

8. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, costs, liabilities and expenses brought against any Indemnified Parties arising out of or relating to: (a) your use of the Site; (b) your conduct; (c) your failure to perform your obligations under these Terms; (d) your violation of the rights of any third party.

9. Trademarks

The trademarks, logos, and service marks displayed on the Sites are registered and unregistered trademarks of Quantile Health and others.

10. Copyright

This Site is protected by United States’ and foreign copyright laws. You may not modify, reproduce or distribute the design or layout of the Site or Quantile Health logos without permission.

11. Links to Third Party Sites

The Quantile Health Site may contain links to websites operated by other parties. Quantile Health is not responsible for the content available on any other Internet sites linked to this Site.

12. No Deep Linking

You agree not to duplicate, download, publish or distribute the material on this Site, except for personal use unless otherwise specifically authorized.

13. User Submissions

Certain areas of this Site may enable you to submit feedback or content. We do not control content posted by users and are not liable for any mistakes or defamation you may encounter.

14. Feedback

All Feedback will automatically become our sole property. By providing such Feedback, you acknowledge that: (a) your Feedback does not contain confidential information; and (b) we may have something similar under consideration.

15. Prohibited Submissions and Acceptable Use

The Site may only be used for lawful purposes. Actions that violate these Terms or applicable laws are strictly forbidden. You may NOT:

The Sites are operated by Quantile Health from New York, USA, and New York law governs these Terms.

20. Violations and Additional Policies

Quantile Health reserves the right to seek remedies for violations of the rules set forth herein.

21. Termination

We reserve the right to terminate your license to use the Site, without notice.

22. Communications between Quantile Health and You

When you communicate with us, you consent to receive communications electronically.

23. Notices; Contacts

All notices and communications shall be in writing and effective upon receipt.

24. Assignment

You may not assign your rights under these Terms without consent.

25. Void Where Prohibited

Quantile Health reserves the right to restrict the sale or use of its products or services.

26. Severability

If any provision of these Terms is found to be void or unenforceable, the remainder will remain in effect.
